I presenti Termini disciplinano l'utilizzo del sito, la fornitura di servizi professionali audio, la vendita dei prodotti software e la distribuzione dei materiali gratuiti offerti tramite il sito. These Terms govern the use of the website, the provision of professional audio services, the sale of software products, and the distribution of the free materials offered through the website.

Utilizzando il sito o acquistando un prodotto, l'utente accetta integralmente i presenti Termini. In caso di disaccordo, l'utente è invitato a non utilizzare il sito. 4. Acquisti e pagamenti4. Purchases and payments

Paddle.com Market Limited agisce come rivenditore autorizzato e Merchant of Record. Il contratto relativo all'acquisto e al pagamento del prodotto intercorre tra l'acquirente e Paddle ed è soggetto ai termini d'acquisto e alla politica di rimborso di Paddle. Paddle gestisce la transazione, la fatturazione, gli adempimenti fiscali e gli eventuali rimborsi. Separatamente, l'utilizzo del software è disciplinato dalla licenza concessa dal Titolare secondo i presenti Termini. Paddle.com Market Limited acts as the authorised reseller and Merchant of Record. The contract concerning the purchase and payment of the product is entered into between the buyer and Paddle and is subject to Paddle's Buyer Terms and Refund Policy. Paddle handles the transaction, invoicing, applicable tax obligations and any refunds. Separately, use of the software is governed by the licence granted by the Owner under these Terms.

5. Licenza software5. Software licence

Il software è concesso in licenza, non venduto. Con l'acquisto il Titolare concede all'utente una licenza d'uso personale, non esclusiva, non trasferibile e a tempo indeterminato, limitata alla versione acquistata e alle condizioni che seguono. Ogni diritto non espressamente concesso resta in capo al Titolare. The software is licensed, not sold. Upon purchase the Owner grants the user a personal, non-exclusive, non-transferable licence of use of indefinite duration, limited to the purchased version and subject to the conditions below. All rights not expressly granted remain with the Owner.

Il trasferimento, la cessione o la rivendita della licenza sono vietati, salvo nei casi in cui tale limitazione non possa essere legittimamente opposta ai sensi della normativa applicabile. In caso di trasferimento consentito dalla legge, l'utente originario deve cessare ogni utilizzo del software, disinstallare tutte le copie in proprio possesso e trasferire integralmente la licenza senza conservarne copie né conservare o utilizzare ulteriormente il codice di licenza. The transfer, assignment or resale of the licence is prohibited, except where such restriction may not lawfully be enforced under the applicable law. Where a transfer is permitted by law, the original user must cease all use of the software, uninstall every copy in their possession and transfer the licence in its entirety without retaining any copy or continuing to retain or use the licence code.

La licenza è nominativa ed è intestata alla persona indicata nell'ordine. Se l'acquisto è effettuato da una società o da un altro ente, la licenza può essere utilizzata da una sola persona fisica per volta all'interno dell'organizzazione. The licence is a named licence, registered to the person indicated in the order. Where the purchase is made by a company or other entity, the licence may be used by one natural person at a time within that organisation.

6. Codice di licenza, attivazione e postazioni6. Licence code, activation and seats

A ogni acquisto corrisponde un codice di licenza personale. Il codice va trattato come una password: la sua diffusione a terzi, in qualsiasi forma, costituisce violazione dei presenti Termini. Each purchase corresponds to a personal licence code. The code must be treated as a password: disclosing it to third parties, in any form, constitutes a breach of these Terms.

Il codice consente l'attivazione su un massimo di due computer contemporaneamente. Le due postazioni sono riservate all'uso del titolare della licenza e non abilitano l'uso simultaneo da parte di due persone diverse. L'utente può liberare in autonomia una postazione dal pannello di licenza del plugin — ad esempio prima di sostituire, formattare o cedere un computer — e riutilizzarla altrove. The code allows activation on a maximum of two computers at the same time. The two seats are reserved for the licence holder's own use and do not enable simultaneous use by two different people. The user may free up a seat independently from the plugin's licence panel — for example before replacing, reformatting or disposing of a computer — and reuse it elsewhere.

L'attivazione richiede una connessione a internet una tantum. Una volta attivato, il software funziona anche senza connessione. Per macchine permanentemente prive di accesso a internet è disponibile sul sito una procedura di attivazione offline; in modo analogo, la disattivazione su tali macchine produce un file di ricevuta che l'utente può caricare sul sito, da un qualsiasi browser, per liberare la postazione. Il software non apre alcuna connessione aggiuntiva a tale scopo. Activation requires a one-off internet connection. Once activated, the software also works offline. For machines permanently without internet access, an offline activation procedure is available on the website; likewise, deactivating on such machines produces a receipt file which the user may upload on the website, from any browser, to free the seat. The software opens no additional connection for this purpose.

Il software si collega ai server del Titolare in tre soli casi: alla pressione dei comandi di attivazione o disattivazione; non più di una volta al giorno all'apertura dell'interfaccia, per verificare la disponibilità di una nuova versione, leggendo un file pubblico; e non più di una volta ogni due settimane, su una copia già attivata, per confermare che la licenza sia ancora valida. The software connects to the Owner's servers in three cases only: when the activation or deactivation commands are pressed; no more than once a day when the interface is opened, to check whether a new version is available, by reading a public file; and no more than once every two weeks, on an already activated copy, to confirm that the licence is still valid. There is no telemetry, no collection of usage statistics and no transmission of audio material. For details of the data processed, please refer to the Privacy Policy.

The update check consists of reading a public file and does not transmit information about product usage, open projects or audio material. As with any standard web request, the server may receive the IP address and the technical information strictly necessary for the communication, as described in the Privacy Policy.

Il controllo di validità non è una condizione di funzionamento: se il server non è raggiungibile, per assenza di rete o per qualsiasi altro motivo, il software continua a funzionare senza limiti di tempo. La licenza si interrompe soltanto quando il server risponde che è stata revocata. The validity check is not a condition of operation: if the server cannot be reached, whether for lack of connectivity or for any other reason, the software keeps working with no time limit. The licence stops only when the server replies that it has been revoked.

L'identificativo di macchina usato per l'attivazione può cambiare in seguito alla sostituzione di componenti hardware o ad aggiornamenti di sistema. In tal caso è sufficiente liberare la postazione dal pannello del plugin e riattivarla; se ciò non fosse possibile, il Titolare provvede su richiesta scritta a support@salvatoreversace.com. The machine identifier used for activation may change following hardware replacement or system updates. In that case it is enough to free the seat from the plugin's panel and activate it again; where this is not possible, the Owner will do so upon written request to support@salvatoreversace.com.

7. Limitazioni d'uso7. Use restrictions

All'utente non è consentito: (a) rivendere, cedere, sublicenziare, noleggiare, dare in leasing o in prestito il software o il codice di licenza; (b) distribuire, pubblicare o condividere il file di installazione o il codice; (c) modificare, alterare, decompilare, disassemblare o sottoporre il software a reverse engineering; (d) rimuovere, alterare o eludere i meccanismi di attivazione e di verifica della licenza, né utilizzare o diffondere strumenti destinati a tale scopo; (e) rimuovere o alterare le indicazioni di titolarità e le note di copyright. The user may not: (a) resell, assign, sublicense, rent, lease or lend the software or the licence code; (b) distribute, publish or share the installation file or the code; (c) modify, alter, decompile, disassemble or reverse engineer the software; (d) remove, alter or circumvent the activation and licence verification mechanisms, nor use or distribute tools intended for that purpose; (e) remove or alter ownership indications and copyright notices.

Le limitazioni di cui alla lettera (c) non pregiudicano le facoltà che la legge riconosce inderogabilmente all'utente legittimo, in particolare gli artt. 64-ter e 64-quater della legge 22 aprile 1941 n. 633: copia di riserva, studio del funzionamento del programma e decompilazione ai fini dell'interoperabilità. The restrictions under (c) do not affect the rights mandatorily granted to the lawful user by law, in particular Articles 64-ter and 64-quater of Italian Law No. 633 of 22 April 1941: back-up copy, study of the operation of the program, and decompilation for interoperability purposes.

L'uso del software su server o all'interno di sistemi di elaborazione automatizzata destinati a terzi — servizi di mastering o di elaborazione audio online, service bureau, application service provider — non è coperto dalla licenza ordinaria e richiede un accordo scritto separato, che può essere richiesto scrivendo a info@salvatoreversace.com. Use of the software on servers or within automated processing systems serving third parties — online mastering or audio processing services, service bureaux, application service providers — is not covered by the ordinary licence and requires a separate written agreement, which may be requested by writing to info@salvatoreversace.com.

8. Versione di prova8. Trial version

Del software può essere resa disponibile una versione di prova gratuita, funzionalmente identica a quella completa ma soggetta a due limiti dichiarati: un numero massimo di istanze utilizzabili contemporaneamente nello stesso programma host, e l'interruzione dell'audio dopo venti minuti di sessione. La prova non ha scadenza. I limiti cessano all'inserimento di un codice di licenza valido, senza necessità di reinstallare nulla. A free trial version of the software may be made available, functionally identical to the full version but subject to two stated limits: a maximum number of instances usable at the same time within the same host program, and audio being interrupted after twenty minutes of session. The trial does not expire. The limits cease as soon as a valid licence code is entered, with nothing to reinstall.

La versione di prova è fornita "così come è", è destinata alla valutazione del prodotto e non è coperta da assistenza. Rimuoverne o eluderne i limiti costituisce violazione dei presenti Termini. The trial version is provided "as is", is intended for evaluating the product and is not covered by support. Removing or circumventing its limits constitutes a breach of these Terms.

9. Aggiornamenti e assistenza9. Updates and support

La licenza include tutti gli aggiornamenti della versione maggiore acquistata (ad esempio da 1.0 a 1.1 e successivi), distribuiti gratuitamente tramite il sito. Il passaggio a una versione maggiore successiva (ad esempio da 1.x a 2.x) costituisce un prodotto distinto e può essere soggetto a un prezzo di aggiornamento. The licence includes all updates to the purchased major version (for example from 1.0 to 1.1 and later), distributed free of charge through the website. Moving to a later major version (for example from 1.x to 2.x) is a separate product and may be subject to an upgrade price.

La distinzione tra aggiornamenti inclusi e versioni maggiori eventualmente a pagamento non pregiudica la fornitura gratuita degli aggiornamenti, inclusi quelli di sicurezza, necessari a mantenere il software conforme al contratto nei casi previsti dalla normativa applicabile. The distinction between included updates and major versions that may be offered as paid upgrades does not affect the free provision of updates, including security updates, required to keep the software in conformity with the contract where required by applicable law.

Il Titolare non è obbligato a mantenere la compatibilità con sistemi operativi, formati di plugin o programmi host dismessi dai rispettivi produttori. The Owner is under no obligation to maintain compatibility with operating systems, plugin formats or host programs discontinued by their respective manufacturers.

L'assistenza è fornita via email all'indirizzo support@salvatoreversace.com, con impegno di mezzi e nei tempi ragionevolmente possibili per un'attività individuale. Non è previsto alcun tempo di risposta garantito. Support is provided by email at support@salvatoreversace.com, on a best-efforts basis and within the timeframes reasonably possible for a sole trader. No guaranteed response time is offered.

10. Durata, revoca e cessazione10. Duration, revocation and termination

La licenza è concessa a tempo indeterminato e non richiede rinnovi. The licence is granted for an indefinite period and requires no renewal.

Il Titolare può revocare una licenza in caso di rimborso, di storno del pagamento (chargeback) o di uso in violazione dei presenti Termini, in particolare la condivisione o la pubblicazione del codice e l'elusione dei meccanismi di attivazione. La revoca è comunicata all'indirizzo email associato all'acquisto e, quando la violazione è sanabile, è preceduta da un invito a porvi rimedio entro un termine ragionevole. The Owner may revoke a licence in the event of a refund, a payment chargeback, or use in breach of these Terms, in particular sharing or publishing the code and circumventing the activation mechanisms. Revocation is notified to the email address associated with the purchase and, where the breach can be remedied, is preceded by an invitation to remedy it within a reasonable period.

Alla cessazione della licenza, per qualunque causa, l'utente deve interrompere l'uso del software, disinstallarlo e cancellare le copie in suo possesso, fatta salva la copia di riserva ove la legge ne consenta la conservazione. Le disposizioni su proprietà intellettuale, limitazione di responsabilità e legge applicabile restano efficaci anche dopo la cessazione. Upon termination of the licence, for whatever reason, the user must stop using the software, uninstall it and delete the copies in their possession, save for the back-up copy where the law allows it to be retained. The provisions on intellectual property, limitation of liability and governing law survive termination.

11. Materiali gratuiti11. Free materials

Il sito mette a disposizione materiali scaricabili a titolo gratuito: strumenti software, pacchetti sonori e file audio. Salvo diversa indicazione, i materiali gratuiti sono concessi mediante licenza personale e commerciale, non esclusiva, non trasferibile, perpetua e non revocabile, salvo violazione delle presenti condizioni. Possono essere incorporati in opere musicali, audiovisive o multimediali originali. Restano vietate la rivendita, la ridistribuzione o la condivisione dei materiali nella loro forma originale o sostanzialmente equivalente, nonché la loro inclusione in librerie, sample pack o raccolte destinate a terzi. The website makes materials available for free download: software tools, sound packs and audio files. Unless otherwise stated, free materials are provided under a personal and commercial, non-exclusive, non-transferable, perpetual and non-revocable licence, except in the event of a breach of these conditions. They may be incorporated into original musical, audiovisual or multimedia works. Resale, redistribution or sharing of the materials in their original or substantially equivalent form is prohibited, as is their inclusion in libraries, sample packs or collections intended for third parties.

The Owner may suspend or remove the materials from the website, but such removal does not affect uses already lawfully authorised. Any mandatory consumer rights remain unaffected where applicable.

Binaural audio files are experimental materials intended for listening only. They are not medical devices, have no diagnostic or therapeutic purpose, and are in no way a substitute for medical advice.

Tutti i contenuti pubblicati sul sito (testi, immagini, audio, codice) sono di proprietà del Titolare o dei rispettivi aventi diritto. All content published on the website (texts, images, audio, code) is the property of the Owner or the respective rights holders.

Il software incorpora componenti di terze parti utilizzati secondo le rispettive licenze. I relativi copyright notice, testi di licenza e attribuzioni sono disponibili nella pagina Third-Party Notices del sito e nel file THIRD-PARTY-NOTICES.txt incluso nel pacchetto di distribuzione. Nulla nei presenti Termini limita i diritti eventualmente riconosciuti direttamente all'utente dalle licenze di tali componenti. The software incorporates third-party components used under their respective licences. The relevant copyright notices, licence texts and attributions are available on the website's Third-Party Notices page and in the THIRD-PARTY-NOTICES.txt file included in the distribution package. Nothing in these Terms limits any rights granted directly to the user by those third-party licences.

14. Garanzia14. Warranty

Nei confronti dell'utente consumatore resta ferma la garanzia legale di conformità sul contenuto digitale prevista dalla direttiva (UE) 2019/770 e dagli artt. 135-octies e seguenti del Codice del Consumo, per la durata di due anni dalla fornitura. For consumer users, the statutory guarantee of conformity for digital content under Directive (EU) 2019/770 and Articles 135-octies ff. of the Italian Consumer Code remains fully applicable, for two years from supply.

Al di là di quanto sopra, il software è fornito senza ulteriori garanzie. In particolare non è garantito che soddisfi requisiti specifici dell'utente, né che funzioni senza interruzioni o errori su una qualsiasi combinazione di hardware, sistema operativo e software host. L'utente è tenuto a verificare il software nel proprio ambiente di lavoro prima di impiegarlo in produzione e a mantenere copie di sicurezza dei propri progetti: la versione di prova esiste proprio a questo scopo. Beyond the above, the software is provided without further warranty. In particular, it is not warranted to meet any specific requirement of the user, nor to run uninterrupted or error-free on any given combination of hardware, operating system and host software. The user is responsible for testing the software in their own working environment before using it in production and for keeping back-ups of their projects: that is precisely what the trial version is for.

15. Limitazione di responsabilità15. Limitation of liability

Nei rapporti con utenti professionali, e nella massima misura consentita dalla legge, la responsabilità complessiva del Titolare derivante dal software o dal suo utilizzo non può eccedere l'importo effettivamente pagato per la licenza interessata. In relationships with professional users, and to the fullest extent permitted by law, the Owner's total liability arising from the software or its use shall not exceed the amount actually paid for the relevant licence.

Nei rapporti con i consumatori si applicano esclusivamente le limitazioni di responsabilità consentite dalla normativa inderogabile applicabile. In relationships with consumers, only the limitations of liability permitted under the applicable mandatory law shall apply.

Il Titolare non risponde, nella misura consentita dalla legge, di danni indiretti o consequenziali, tra cui perdita di dati, lavoro, profitti o avviamento. Nessuna disposizione limita o esclude la responsabilità per dolo o colpa grave, danni alla persona o altri casi in cui la responsabilità non possa essere limitata per legge. To the extent permitted by law, the Owner shall not be liable for indirect or consequential losses, including loss of data, work, profits or goodwill. Nothing limits or excludes liability for wilful misconduct, gross negligence, personal injury or any other liability that may not legally be limited.

Le modifiche non si applicano retroattivamente alle licenze già acquistate, laddove ne peggiorino in modo sostanziale le condizioni. Changes do not apply retroactively to licences already purchased, where they would materially worsen their conditions.

17. Legge applicabile e foro competente17. Governing law and jurisdiction

I presenti Termini sono regolati dalla legge italiana. These Terms are governed by Italian law.

Per l'utente consumatore è competente in via esclusiva il foro del luogo di residenza o di domicilio eletto, se ubicato in Italia; restano comunque salve le disposizioni inderogabili del Paese dell'Unione europea in cui il consumatore risiede. Per ogni altro utente è competente in via esclusiva il foro di Taranto. For consumer users, the courts of their place of residence or elected domicile, if located in Italy, have exclusive jurisdiction; the mandatory provisions of the European Union country in which the consumer resides remain unaffected in any event. For all other users, the courts of Taranto have exclusive jurisdiction.
